1. Website Terms and Conditions (“T&C”)

This Site is owned by HUMAN BUSINESS STUDIO Ltd. (“HBS”) registered in Sofia, Bulgaria, VAT No BG205148001, Address Andrey L56 Andrey Lyapchev blvd, postal code 1799. By using this website (“Site”), you indicate your understanding and agreement to be bound by these terms and conditions (“T&C”). If you do not agree to any part of these T&C, please do not use this Site and exit any page immediately. Your continued use of the Site constitutes your agreement to all such terms, conditions, and notices and their further amendments or modifications from time to time. The T&C apply to this Site and also, where applicable, to the other services HBS is offering, including to any event(s) promoted herein (collectively with the Site referred as the “Services”) and set out the terms, conditions, and notices under which the Services are offered, including but not limited to the use of this Site between HBS and you when you visit and/or purchase a ticket or register and/or participate in any event(s) organized by HBS. HBS reserves the right but shall be under no obligation to adapt, update, transform and/or modify the T&C or the Privacy Policy and the Site or to introduce new pages, options, services, functions, and/or features. The term Site shall include all of these unless otherwise indicated. The T&C does not apply to the content of third parties Sites or services. The Services are offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your continued use of the Services constitutes your full agreement to all such terms, conditions, and notices, and any further amendments. You acknowledge and agree to comply with the T&C together with our Privacy Policy available on the Site and any other guidance that HBS may issue in supplement from time to time.

Registration with the Site: You are not required to register with the Site in order to access and use certain features of the Services. If you choose to register for the Services, you agree to provide and maintain true, accurate, current, and complete information about yourself as prompted by the Services’ registration form. Registration data and other information about you are governed by this T&C and our Privacy Policy and the applicable law. If you are under 18 years of age, you are not authorized to use the Services, with or without registering. You acknowledge and agree, including but without limitation to the following:

(a) to comply with all the notices, guidelines, rules and instructions in relation to the use of the Services as issued by HBS from time to time, including but not limited to all specific terms and conditions governing use of specific aspects of the Services and any amendments and modifications, operating rules, guidance or policies that may be published from time to time by HBS; (b) to abide by all applicable laws and regulations in your use of the Services; (c) where it is the case, not to share or disclose your access user name and/or password to any other party;(d) not to impersonate any person or entity or to falsely state or otherwise misrepresent your affiliation with any person or entity; (e) not to upload or distribute in any way files which you know or have reason to suspect contain viruses, corrupted files or any other similar software, programs, macros or files that may detrimentally interfere with the Services; or to do anything which would create or impose an unreasonable or disproportionately large burden or load on the Site; (f) not to gather and use the information for unsolicited advertising or other unsolicited purposes; (g) not to use the Services for illegal purposes; (h) where it is the case, if you get access to the list of other delegates or in whatever circumstance, not to post or transmit “spam” mail or engage in any unsolicited mass distribution of email or to transmit any unsolicited advertising in any form whatsoever; (i) where it is the case, not to post, promote or transmit information through the Services which may infringe the rights of any third party, whether in statute or at common law, including but is not limited to any third party’s copyright, patent, trademark, trade secret or proprietary rights or rights of publicity or privacy; (j) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover the source code of any software that is used in connection with the Services.
At all times, HBS reserves the right to disclose any information as HBS deems necessary to satisfy any applicable law, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in HBS’s sole discretion.

At all times, HBS reserves the right to disclose any information as HBS deems necessary to satisfy any applicable law, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in HBS’s sole discretion.

Unless otherwise specified, the Site is for your personal and non-commercial use. You may not copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works or materials from, transfer, or sell any information, software, products or services obtained from the Site. Without the advance express written permission of HBS, you may not ‘meta-search’ the Site, send, or cause to be sent, any automated queries of any sort to the Site, or use the Services in any commercial manner without our prior express written consent.
You acknowledge and agree that you will not use the Site for any purpose that is unlawful or prohibited by the T&C. You may not use the Site in any manner that could damage, disable, overburden, or impair any Site(s), network(s) connected to the Site, or interfere with any other party’s use and enjoyment of any Service. You may not attempt to gain unauthorized access to the Site, other accounts, computer systems or networks connected to the Site, through hacking, password mining, or any other legal or illegal means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Site.
It is understood and agreed that HBS reserves the right, in its absolute sole discretion, to restrict, suspend or terminate your access to the Site and the related services or any portion thereof at any time, without any prior notice. Upon termination of your Site access, your right to use the Site immediately ceases. HBS shall have no obligation to maintain any content.

If anyone would like to insert a hyperlink to the Site (or any part thereof) on any of their Site(s) or webpage(s) or ‘mirror’ any material contained on the Site on any other server, prior written permission is required from HBS.

The Site may contain links to third-party Sites (“TPS”). The TPS may or may not be under any control of HBS. Consequently, HBS cannot accept any responsibility for the contents of or the consequences of accessing any linked Site(s), including without limitation any links contained in a TPS, or any changes or updates to a TPS. You acknowledge and agree that HBS is not responsible for any content or webcasting or any form of transmission received from any TPS nor is HBS responsible if any TPS is not working appropriately.

HBS is providing the link(s) to you only as a convenience, and the inclusion of any link(s) does not imply endorsement by HBS of that site(s) or any association with its operator(s). You understand that you are responsible for viewing and abiding by the privacy statements and terms of use posted at that respective TPS.

2. Events Terms and Conditions (“T&C”)

HBS (the owner of this Site, defined as “HBS” or the “Organiser”) is the organizer of the event(s) in its relationship with its customers promoted herein on this Site. HBS is a private limited liability company incorporated under the laws of Bulgaria and registered with the Commercial Registry of Bulgaria with Unique Identification Number: 205148001 and VAT Number: BG 205148001.
A visitor is considered a person who bought a ticket/made reservation for the Event, both on the site or online.

The following part details the process relating to acquiring or purchasing tickets or registering for events on this Site, including various terms and conditions applicable during an event organized by HBS. However, it should always be read in conjunction with the entire T&C and the Privacy Policy on this Site.

All ticket sales are subject to the T&C and our Privacy Policy. At any time, if you do not agree to these and/or do not consent to such use and disclosure, please cease to access or use the Services available on or through this Site. When you purchase a ticket or register for any event(s) organized by HBS you are expressly giving your full consent to comply with and be bound by the T&C herein and the Privacy Policy.

Payments for events are made via the ticketing platforms announced on the Site, or on the day of the Event on the spot at the registration area for the visitors.

The Site also indicates early registration promotions for the Events.

HBS reserves the right to change the T&C and the Privacy Policy, including but not limited to the ticket prices and the fees associated with the use of the Site at any time with or without prior notice. Any amended or further modified T&C will be posted on this Site. Consequently, we advise you to check this Site from time to time and particularly before each time you are using and/or purchasing on our Site or using any of our Services.

The registration and event tickets purchase is to be conducted in one of the following ways: (a) on the Site of HBS or (b) through an event ticket selling platforms, as announced on the Site or (c) on the day of the Event at the registration area designated by HBS for the visitors.

Your registration has been successfully completed when you receive a confirmation email and/or a ticket at the e-mail address you have provided during the registration process itself. It is your responsibility to provide a valid e-mail address to which you or the visitor (s) you register have access. HBS reserves its right to refuse registrations at its sole discretion.
HBS reserves the right to change the date, time, and venue of each event by publishing a notice on the Site. Effective efforts will be made to notify the visitors by e-mail or other means of changing the date, time, or venue of the Event for which they have registered. However, we recommend that you check the webpage or website of the Event the day before the date of the Event.

Visitors with personal invitations are not allowed to transfer them to others. In case the respective person is prevented from attending the event, he/she is obliged to notify the Organizers within three working days prior to the event date. The obstructed person may designate another visitor to attend the event and should obtain an explicit confirmation from the Event Organizers of the successful substitution.

All orders are subject to availability and acceptance by HBS. HBS reserves the right to accept or reject any order without providing any reason for such a decision. By ordering Tickets the purchaser shall agree, on his/her own behalf and as an agent on behalf of all persons for whom he/she is purchasing Tickets or who will be holding tickets purchased by he/she (“Ticket Holder”), to be bound by these T&C and the Privacy Policy.

Ticket prices, promotions, and discounts may change during a sale period and they may differ from an event to another, as determined in its sole discretion by HBS. No refunds will be given or claims entertained due to any change in Ticket prices, including but not limited to promotional prices, discounts, or whatever special offers, except as mentioned in this T&C.

By transacting this Site, you certify that you are at least 18 years of age and you understand this T&C. Any breach of this T&C may attract the invalidity of your purchase and/or including as a result to have your access denied at the respective event.

Our events are recommended and restricted to participants of at least 18 years old. Under special circumstances and at the HBS’s representatives discretion participants under 18 years may be admitted at an event provided they possess a valid access document either a paid ticket or a free or subsidized ticket and they must be accompanied by an adult with a valid ticket. Anyone who fails to comply with these requirements may have their access restricted.

Upon confirmation of your purchase for Tickets, no refund and/or no exchange of Tickets will be entitled under any circumstances and Tickets are not transferable, except as mentioned in this T&C at the full discretion of HBS. The resale of Tickets at any price is prohibited. HBS reserves the right to cancel any Tickets that have been transferred or resold and to deny any such Ticket Holder entry.

The tickets purchased are for your own personal use or that of your business only and may not be re-sold or transferred for commercial gain under any circumstances, including but not limited to use as part of any promotion or competition, without HBS’s prior written consent. Where there has been any resale or attempted resale of any tickets (or any other breach of this T&C), we reserve the right to cancel the relevant tickets with immediate effect. We also reserve the right to cancel any ticket purchase made by any person or body whom we reasonably believe to be associated with any ticket broker or tout. HBS will not be responsible for any tickets that are lost or stolen. In special circumstances, HBS may replace some of these tickets on a case by case situation. The replacement may be subject to a replacement fee.

HBS may accept a transfer of a ticket bought to a nominated new attendee subject to written notification to us together with the full contact details of your nominated new attendee, no later than 10 working days before the event starts. An administration fee may apply. Please contact HBS to seek help with this.

You can withdraw your participation from the Event with a written cancelation received not later than 14 days before the date of the Event at hello@hisummit.org. In such a case, we would refund you 100% of the amount paid. After that time, no expenses will be refunded.

For the avoidance of doubt, HBS doesn’t accept any refund as a result of your late registration for the event.

Tickets are delivered in electronic soft-copy via email to the email address nominated by the purchaser. If a purchaser buys several Tickets online, the electronic tickets will not be sent until the purchaser has provided for each beneficiary of a ticket his/her details, such as email address and mobile phone number. The online form may provide additional fields to input these details if available at the time of purchase. If not available, the details have to be communicated as soon as possible to our contact email/ or using the form in the Site, but not later than the day before the date of the event as per this T&C.

No photography, audio or video recording is allowed during the events unless otherwise advised by HBS.

For the online streaming of the Event, the respective visitor will receive a unique access link at the email address that the visitor used for the ticket order 24 hours prior to the event. The access will be granted to only one user and IP address. All the personal data will be secured in a trustable technical and organizational environment, in full compliance with the applicable privacy legislation, to include the EU Regulation 2016/679. Please consult our Privacy Policy in this regard.

HBS has the right to postpone, cancel, interrupt or stop an event due to adverse justified situation such as weather, pandemic or widespread epidemic, dangerous or terrorism situations, unexpected issues with the location if a speaker is prevented from participating due to a medical emergency, or any other causes beyond its reasonable control.

It is understood and agreed that while the speakers’ presentation at an event is with the consent of HBS, HBS assumes no responsibility for the accuracy or appropriateness of any information provided at the event by any speakers and his/her points are their own points, not necessarily endorsed by HBS. HBS may also add, withdraw, or substitute any speaker(s) and/or vary advertised programs, without prior notice. HBS shall notify you in writing of the changes made and you shall not be entitled to any claim for a refund or for any costs, expenses, losses, damages, or liabilities that may be incurred or suffered by you as a result of such cancellation or amendment or changes. HBS shall not be liable for any delay and/or failure to deliver to you any updated information and/or services resulting from your failure to supply a valid email address and accurate contact details.

In the interest of safety, health, and comfort of all visitors and speakers, the event is subject to stringent security and physical distancing (where required) measures. Any person who wishes to visit an event agrees that she/he could be subject to security checks including but not limited to inspection by the security guards at the Event venue and/or scanning by technical means of clothes, bags and other items, before entering the event venue or at the event venue.

The following items may not under any circumstances be brought or deposited at the events: explosives or exploding materials, pyrotechnics, firearms (including replica or toys firearms), projectiles and others similar objects; sharp objects, e.g. knives (including Swiss Army knives), scissors, cutlery and/or screwdrivers; spray paint; padlocks and/or chains; elements that produce noise (e.g. whistles); banners, posters and / or flags that are not authorized by the Organizer; alcohol, drugs; any other items that in our opinion pose a risk to the health and safety of other the visitors in any way.

HBS reserves the right to require visitors whose behavior is unacceptable (as per this T&C) or threaten the health and safety of the other visitors to leave the Event.

HBS reserves the right to introduce additional restrictions for certain events. Before signing up, you need to check-up the Site for any additional conditions or restrictions. The visitor and any person in whose name a ticket is reserved will comply with all such conditions or restrictions.

HBS does not accept and would not tolerate harassment of any kind towards our users and event visitors in any form and we expect that all visitors conduct themselves in a civilized, professional, and appropriate manner. Any visitors to any of our events who do not comply with these rules may be sanctioned or expelled from the Event, without a refund, at the discretion of the event organizers.

This part of the T&C is more relevant to the unfortunate situation when an event has to be postponed, canceled, or substituted with another event for whatever reason.

HBS may postpone or cancel an Event for any reason whatsoever by written notice to you. If any Services, or specific event(s), are postponed or canceled by the Organizer, an official notice shall be placed on thе Site and other appropriate channels by HBS in that respect. In the unlikely situation of cancellation of an event, HBS assumes no responsibility for any loss or damage as a result of a substitution, alteration, cancellation or postponement of an event. HBS shall assume no liability whatsoever in the circumstances that an event is canceled, rescheduled or postponed due to a force majeure (as such is further defined below) or fortuitous situation, unforeseen occurrence or any other event that renders performance of an event impracticable and impossible. For purposes of this clause, a fortuitous event shall include, but not be limited to fire, labor strike, extreme weather, or other emergencies.

You acknowledge that you shall not be entitled to and shall not claim a refund other than by strict compliance with this T&C and the law.

HBS shall have no other liability or obligations for any other costs, expenses, losses, damages, or liabilities that may be incurred or suffered by the visitor or the Ticket Holder as a result of such cancellation in case the Event has been organized at a later stage. The visitors, including Ticket Holders, shall save the same rights to participate in the Event as per the type of ticket they purchased for the canceled Event. If no substitution Event is organized, HBS shall refund solely the full ticket price paid by the visitor or ticket holder.

The Services, including the Site and all information, including but not limited to text, graphics, and hyperlinks, materials, services, and functions contained therein are provided on an “as is” and “as available” basis for your information and personal use and enjoyment only. No warranty of any kind, implied, express, contractual or statutory, including but not limited to any warranties of title, non-infringement of third party rights, merchantability, satisfactory quality, accuracy, fitness for a particular purpose and freedom from computer virus or other malicious and harmful components, destructive or corrupting code, agent, program or macros, is given in conjunction with the Site, or any information and materials provided at the Site or throughout the events promoted at the Site.

HBS does not warrant and shall in no event be liable for any damages, loss or expense (including but not limited to direct, indirect, special, circumstantial, consequential or punitive damages, loss of profits, loss of business, loss of opportunities, loss of goodwill or cost of cover) arising in any way from or in connection with (a) the accuracy, timeliness, adequacy or completeness of the information, materials, services and/or functions provided at or contained in the Site; (b) the access, use or inability to use and/or access to the Site, the Services and/or any information or any materials on the Site will be uninterrupted, secure or free from errors, defects, mistakes or omissions or that any identified defect will be corrected immediately; (c) that the Site or any information or materials provided therein will meet your requirements or are free from any virus or other malicious, deletions of files, delay in operations or transmission, non-delivery of information, disclosure of communication, destructive or corrupting code, agent, program or macros, any system, server or connection and/or performance failure; (d) any services, products, information, data, software, or other materials obtained, printed or downloaded from HBS or from any other Site or webpage linked to the Site or from any other party referred by the Site; (e) any dispute arising between you and any third party service provider of Site, even if HBS has been advised of the possibility of such damages, losses, or expenses; and (f) that use of materials displayed on Site will not infringe rights of third parties. This paragraph shall take effect to the fullest extent permitted by law.

You also specifically agree that HBS will not be responsible nor liable for any threatening, defamatory, obscene, offensive or illegal content or conduct of any other party or any infringement of another’s rights, including intellectual property rights on this Site or during the provision of the Services or at any event organized by HBS.

All trademarks, copyright and other intellectual property and proprietary rights in this Site or in any Еvent organized by HBS, protected by prior official registration or not, including but not limited to text, software, code, scripts, internet sites, music, sound, photographs, video, graphics, graphical user interface, forms, diagrams or any other support, content or material contained in the Site or presented to any event (subject to the rights of the speaker(s) or presenter(s)) or developed as a result of the Еvent shall belong to HBS or other third party content providers if it was the case and you are permitted to use this material only as expressly authorized by HBS to do so. (“Content”). You may save, download or print the Content solely in connection of your personal use of the Site and for non-commercial purposes. You may access materials displayed on the Site any time they are available for your non-commercial use only provided that you also always retain all copyright and other proprietary notices contained on their respective materials. You may not, however, sell copy, reproduce, distribute, modify, display, transmit, reuse, re-post, or otherwise use the Content for any public or commercial purposes or for longer than necessary, without HBS’s prior written permission. Meanwhile, if you have a valid claim regarding any material contained or published on this Site, you are welcome to contact us with the relevant evidence and we will analyze be receptive to rectify, amend and/or remove from our Site that element. In any respect, HBS reserves all rights not expressly granted in and about the Site and the content and materials herein.

HBS shall not be responsible, nor liable for non-performance, cancellation, error, interruption or delay in the performance of its obligations, in the Site’s operation, in the provision of the Services (or any part thereof) or for any inaccuracy, unreliability or unsuitability of Site’s contents if this is due, in whole or in part, directly or indirectly to an event or failure which is beyond HBS’s reasonable control which includes without limitation: (a) any natural calamities, including but not limited to earthquake, floods, land-sliding, lightning, Acts of God, pandemic or wide-spread epidemic, fire and other natural disasters; (b) war or acts of terrorism; (c) local or foreign judgments, legislation, acts, orders, directives, policies, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any court, governmental, parliamentary and/or regulatory authority imposed or to be imposed after the fact; (d) power failure, acts or defaults of any telecommunications network operator or when communication lines (whether in Bulgaria or elsewhere) cannot be used; and (e) acts or omissions of any third party service provider or a party for whom HBS is not responsible for.

If an Event is canceled because of an Act of God, pandemic or wide-spread epidemic, inevitable accident, fire, blackout, weather, flood, or any other calamity, or if by reason of terrorism, terrorist threats, riots, strikes or lockouts, or any other events beyond the direct control of HBS, HBS may, at its option postpone the Event from the original schedule. The visitors, including Ticket Holders, shall save the same rights to participate the Event as per the type of ticket they purchased for the canceled Event, and shall not be entitled to claim for a refund or for any costs, expenses, losses, damages or liabilities which may be incurred or suffered by them as a result of such unfortunate postponement.

Any notices, demands or other official communications, may be deemed served by HBS (or our agents or advisers) on you by posting them on this Site or by direct email or recorded mail. If sent by email, when sent to your email address notified to HBS in writing during your access or registration with the Site and shall be effective on the date and time of transmission by the mail server operated by HBS and/or its service provider unless HBS receives the automatic a non-delivery or any error reply message indicating that the email was not successfully sent to your mailbox.

From time to time, HBS may designate and prescribe in this T&C other methods of giving notices, including but not limited to any form of communication or transmission such as Facebook, Twitter, SMS, etc, and the time or event by which such notice shall be deemed given.

Neither HBS nor any of its content providers shall be liable for any errors or delays in the content furnished during the provision of the Services or on the Site, or for any actions taken in reliance thereon. HBS assumes no obligation to monitor, screen, censor or review transmissions, and the like on the Site, and disclaims any responsibility or liability arising from the content or for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, inaccuracy or any other objectionable material contained in any information within the Site.

We welcome any comments, feedback, and constructive complaints from anyone in relation to the Site, our Services, and any Event promoted or provided on the Site. We do our best to reply in a timely manner and to address any complaints where reasonable. You may contact HBS by email at hello@hisummit.org.

Should any provision(s) or part thereof of this T&C is held to be invalid or unenforceable, such provision or part thereof shall be struck off and the remaining provisions shall be unaffected and enforced.
By accessing this Site and/or using the Site and any Services, you have acknowledged and agreed that this T&C together with the Privacy Policy shall be construed and governed by the Bulgarian law.
In the event of any dispute, controversy or claim arising out of or in connection with the T&C contained herein, including the Privacy Policy and any questions regarding their existence, validity, breach, or termination, the parties undertake to seek an amicable resolution with the possibility of using a mediator and in the event the parties fail to reach an amicable resolution, they shall be referred to and finally resolved by the Arbitration Court with the Bulgarian Chamber of Commerce. The language of the arbitration shall be Bulgarian. The parties hereto undertake to keep the arbitration proceedings and all information, pleadings, documents, evidence, and all matters relating thereto confidential.

HBS follows the provisions of the General Personal Data Protection Regulation (GDPR) in the collection and processing of your personal data for the purposes of registration and admission to Events.
During the events, organizers and other media photographers and cameramen are allowed by the organizers to take pictures and video recordings that are used to be published in the media, social networks, as well as in the preparation of materials for the promotion of its next editions. If you do not wish to be photographed, please do not register and do not attend HBS Events.

We recommend that you consult our Privacy Policy, where all the details how, on what grounds, and for what purposes we process your personal data are described.

You have the right to access, rectify, delete your data and to oppose the processing of personal data at any time by contacting us by email at hello@hisummit.org.

The first edition of this T&C has entered into force on Aug 17th, 2020.
